1. Agreement Between User and Hey Reliable LLC
Welcome to Hey Reliable LLC (“Hey Reliable”). This agreement covers the services offered through our website, heyreliable.com. Hey Reliable LLC provides comprehensive design, front-end development, and back-end development services. By using our website, you agree to be bound by the terms and conditions outlined herein (the “Terms”). Please review these Terms carefully and retain a copy for your records.
2. Electronic Communications
By using heyreliable.com or engaging with Hey Reliable through email, you are engaging in electronic communication. You consent to receive communications from Hey Reliable electronically, which may include emails or notices posted on the website. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirements that such communications be in writing.
3. Children Under Thirteen
Hey Reliable does not knowingly collect personal information from individuals under the age of thirteen. If you are under 18, you may use heyreliable.com only with the permission of a parent or guardian.
4. Proposals and Project Scope
Hey Reliable’s project proposals are valid for 30 days unless otherwise noted and are calculated based on the information and assets provided by the Client at the time of their proposal request. It is the Client’s responsibility to communicate clearly, thoroughly, and in detail all goals, preferences, and specific requirements for their project. While Hey Reliable will ask questions to clarify any ambiguities, it is not possible to anticipate unexpressed expectations. To ensure the most accurate proposal possible, Hey Reliable recommends that the Client provide a comprehensive style guide and a detailed project brief outlining all goals, preferences, and specific requirements.
Any additional information, requests, or changes provided after the project has commenced or after the proposal has been approved will result in additional costs. This includes, but is not limited to, design changes or new requirements introduced during development. Hey Reliable codes at a precise 1:1 ratio to the approved design, investing significant time to ensure exact implementation. Any elements or preferences not communicated, designed, or approved prior to commencement will be quoted and billed separately.
5. Payment Policies
Hey Reliable requires full payment upfront for all services rendered. This includes project phases, hosting, ongoing support, hours, and retainer plans.
- Project Payments: Full payment is required upfront for each project phase before work can begin. For example, payment for phase 1 must be received before starting phase 1; the same applies for subsequent phases. Clients must approve phase 1 before Hey Reliable will proceed to phase 2. Any changes to deliverables in phase 1 after approval and commencement of phase 2 may incur additional charges. Hey Reliable will not, under any circumstances, release any files or grant administrator access to any content management systems (CMS) for work created during the course of the project if there are any outstanding invoices or charges.
- Retainers: Retainers require automatic billing on a monthly basis and are non-refundable. Clients may cancel their retainer agreements at any time prior to the next billing cycle to prevent future charges. If a payment fails, clients have 48 hours to update their payment method before services are paused. Retainers may not be used for design services unless otherwise specified. Hey Reliable may cancel a retainer agreement with 30 days’ written notice.
- Maintenance & Hosting: Clients may cancel maintenance and hosting services at any time prior to the next billing cycle to avoid future charges. In the event of a declined payment, Hey Reliable will notify the Client via email and allow 48 hours to update their payment method before maintenance services are paused. For clients who have also opted into hosting, Hey Reliable will send additional email notifications regarding the failed payment and potential account suspension. If payment has not been made within 60 days, Hey Reliable reserves the right to take the Client’s website offline and delete associated hosting files. The Client is responsible for creating and maintaining their own data backup prior to deletion. Hey Reliable will not be held responsible for any impact to the Client’s business or operations as a result of the website going offline. Please refer to Hey Reliable’s separate Maintenance & Hosting Terms for additional details.
- Hourly Payments: Clients may opt for hourly payments, which require advance purchase unless a separate contract specifies a monthly payment schedule. Pre-purchased hours expire 2 years after the purchase date. Bulk or volume-discounted hours (offered at 50 hours or more) are non-refundable.
- Accepted Payment Methods: Hey Reliable invoices via PayPal and accepts payments through PayPal, credit/debit cards, bank transfers, Zelle, check, and cryptocurrency.
6. Cancellation Policy
- Projects: Either party may cancel a project at any time. If the client cancels a project, they are responsible for payment for any work completed up to the point of cancellation. If full payment has been received, Hey Reliable may issue an account credit or refund for any work not yet completed. Projects put on pause or with no feedback or movement for 60 days or more are ineligible for refunds or credits.
- Retainers and Maintenance & Hosting Services: Clients may cancel retainer, maintenance, or hosting services at any time prior to the next billing cycle to avoid future charges.
7. Refund Policy
Hey Reliable does not offer refunds except in the event of a one-time project cancellation, in which case a refund request may be considered on a case-by-case basis at the sole discretion of Hey Reliable. If approved, refunds will be processed within 5 business days. All other payments for projects, retainers, maintenance, hosting, and other services are final and non-refundable.
8. Acceptance
Default acceptance criteria apply to all projects and stages. A delivery is considered accepted under any of the following conditions:
- The Client approves the delivery or requests to proceed to the next phase via email, meeting, call or through Hey Reliable’s project management system.
- The Client does not provide any feedback or request changes within 60 days of receiving design work, front-end development, back-end development, or the delivery and deployment of files.
Any feedback or change requests submitted after 60 days from the delivery of a milestone are considered out of scope and will incur additional charges.
9. Fixes, Updates, and Post-Launch Support
Timelines for project delivery and subsequent revisions are approximate and subject to change depending on the speed of Client feedback and approval. Revisions, add-ons, and content migration are not included in the initial turnaround estimate and may affect the timeline if required.
Hey Reliable offers a 90-day code guarantee starting from the project’s launch date. During this period, any bugs or issues within the original project scope will be addressed at no additional charge. Challenges arising outside the original project scope (e.g., technology limitations or updates) may incur additional charges, with approval required before proceeding.
10. Launch
Once a project is approved and all outstanding invoices are settled, the Client may request Hey Reliable to deliver completed files or upload them to the hosting server of their choosing. One transfer to standard web hosts (e.g., WP Engine, Kinsta, GoDaddy, cPanel, etc.) is included in the project cost. Transfers to non-standard configurations will be billed separately.
When a client chooses to launch, they are approving the project and indicating they have fully reviewed the work and are ready to move forward. Clients should not wait until after launch or file transfer to review deliverables. They accept the project by requesting file handoff or launch.
Hey Reliable performs website launches exclusively from Monday through Thursday. To ensure availability for addressing any urgent post-launch issues, launches are not conducted on Fridays, holidays, or weekends. Unless otherwise requested, launches are scheduled during U.S. overnight hours to minimize downtime.
In most cases, at least 1 business day’s notice is required; however, same-day launches may be accommodated at Hey Reliable’s discretion and availability if the request is received before 11 AM EST. Requests submitted after 11 AM EST are typically scheduled for the following U.S. overnight hours.
11. Maintenance & Hosting
Hey Reliable LLC provides WordPress maintenance and web hosting services under the following terms:
- Payment Terms: Clients may select from annual or monthly payment plans for WordPress maintenance and web hosting services. All payments are to be made via a recurring subscription. It is the client’s responsibility to ensure that payment information remains current to avoid service disruption.
- Service Interruption: If a payment fails, Hey Reliable will notify the client via email. Maintenance services and hosting will be suspended if the client does not update their payment information within 30 days of notification. Failure to resolve payment issues within 60 days will result in the permanent removal of the client’s website and associated files from our servers. Data will be retained for an additional 30 days post-deletion for recovery purposes.
- Refunds: Payments for maintenance and hosting services are non-refundable.
- Cancellation Policy: Clients may cancel their maintenance and hosting services at any time through written notice. Charges will apply for any additional support services required post-cancellation, such as data retrieval or website migration, billed at the company’s standard hourly rate.
- Security Measures: Hey Reliable implements industry-standard security practices for WordPress sites, including firewalls, malware scanning, and secure password protocols. Despite these measures, the company cannot guarantee that security breaches will not occur.
- Hosting Reliability: Our hosting services are provided in partnership with third-party providers, such as WP Engine. While we select providers known for their reliability, Hey Reliable cannot guarantee 100% uptime due to the nature of web hosting.
- Technical Support: Technical support for maintenance and hosting services is available 24/7 from Monday to Friday, excluding holidays.
12. Rush Agreements
When a Client requests a project timeline faster than outlined in the original project proposal, Hey Reliable may, at its sole discretion, offer an expedited timeline in exchange for a rush fee. This rush fee is calculated based on the total project cost, the level of acceleration required, the need for extended work hours (including nights and weekends), and additional resources necessary to meet the revised deadline.
If the Client agrees to the rush timeline, payment of the rush fee must be made by 10:00 PM EST on the same day the rush timeline is proposed for the expedited timeline to commence. Failure to make timely payment or delays in starting the project may result in the following:
- The rush timeline may no longer be available.
- If still feasible, the rush timeline will be adjusted by the number of days delayed.
- An increase in the rush fee to account for the additional time or resources required.
For rush projects, the Client acknowledges and agrees that standard review and feedback opportunities may be reduced or omitted to meet the expedited timeline. Hey Reliable reserves the right to use its sole discretion to review and approve project milestones to ensure the agreed-upon timeline is met.
Hey Reliable reserves the right to decline any rush request if the proposed timeline is deemed too aggressive or unrealistic to deliver work that meets its quality standards.
13. Content
Hey Reliable reserves the right to refuse any project at its discretion. Hey Reliable does not provide services for projects containing offensive, illegal, or infringing material. The Client is solely responsible for all content provided, including but not limited to:
- Ensuring compliance with copyright laws.
- Resolving claims related to their content.
- Responding promptly to notices of alleged content infringement.
The Client agrees to indemnify and hold harmless Hey Reliable, its affiliates, and related entities from losses, claims, or liabilities arising from the Client’s content.
14. Work Ownership
All copyrightable works, ideas, discoveries, inventions, products, or other deliverables (collectively, the “Work Product”) created by Hey Reliable as part of the project will become the exclusive property of the client upon full payment of all outstanding balances. Until full payment is received, the Work Product remains the property of Hey Reliable.
15. Authorized Representatives
The client is responsible for any services requested or approved by individuals they authorize to participate in project communications, including coworkers, employees, or third parties. The client accepts full responsibility for all associated charges.
16. Security Policy
Hey Reliable LLC follows industry best practices to maintain the security and integrity of client websites. While no security system is infallible, we implement proactive security measures to minimize risks.
Clients enrolled in a maintenance and hosting plan receive ongoing security monitoring, software updates, malware scanning, and other preventative measures to help protect their websites. For optimal security, Hey Reliable recommends implementing the following:
- Use of a trusted hosting provider such as WP Engine
- Implementation of a web application firewall (WAF)
- Use of SSL certificates for encrypted connections
- Advanced Distributed Denial-of-Service (DDoS) mitigation
- Enforcing strong passwords and avoiding generic usernames
- Regular updates to WordPress core files, themes, and plugins
- Implementation of daily automated backups with one-click restore
- Modification of WordPress login page URLs for security enhancement
While these measures enhance security, no system can guarantee complete protection. Clients are responsible for maintaining secure access credentials, restricting unauthorized access, and implementing additional protective measures as needed. Hey Reliable is not liable for security breaches, hacking attempts, or vulnerabilities introduced by third-party software or client modifications.
For clients enrolled in a maintenance and hosting plan, site cleanup and restoration are included at no additional cost in the event of a website compromise. Clients who are not enrolled may request security assistance, which will be billed at Hey Reliable’s standard hourly rate.
Hey Reliable also follows internal security protocols, including:
- Use of an enterprise-level password management system with role-based access control
- Required two-factor authentication (2FA) for company systems and accounts
- Strong password enforcement for all credentials created or managed by Hey Reliable
- VPN usage for secure access to client hosting accounts and servers when applicable
- Regular employee security training and required password updates
- Immediate reporting of any suspicious activity or unauthorized access attempts
17. Links to Third-Party Sites and Services
heyreliable.com may contain links to third-party websites (“Linked Sites”). Hey Reliable has no control over and is not responsible for the content, functionality, or updates of any Linked Sites, including any links contained within the Linked Sites. These links are provided solely for your convenience and do not imply endorsement or any association with the operators of the Linked Sites. Certain services available through heyreliable.com may be provided by third-party sites or organizations. By using any product, service, or functionality originating from these domains, you acknowledge and consent that Hey Reliable may share necessary information and data with third parties that have a contractual relationship with Hey Reliable to provide the requested product, service, or functionality.
18. Acceptable Use, Intellectual Property, and Licensing
You are granted a limited, non-exclusive, non-transferable license to access and use heyreliable.com in accordance with these Terms. You agree not to use the Sites for any unlawful or prohibited purposes, nor to interfere with their functionality or other users’ access. Attempts to obtain materials or information through unauthorized means are strictly prohibited. All content on the Sites, including text, graphics, logos, images, and software, is the property of Hey Reliable or its suppliers and is protected by copyright and other intellectual property laws. You may not modify, publish, distribute, reverse engineer, create derivative works, or exploit any content from the Sites without express written permission. This content is provided for personal use only, and no ownership rights are transferred to you through its use.
Hey Reliable may use third-party tools, plugins, or software to enhance the deliverables provided to the Client. These components may be subject to additional licensing terms, which will be communicated to the Client when applicable. The Client is responsible for adhering to all third-party licensing agreements associated with these components.
19. International Users
The Service is controlled and operated by Hey Reliable from its offices in the United States. If you access the Service from outside the United States, you are responsible for complying with all local laws, regulations, and requirements applicable to your location. This includes, but is not limited to, compliance with data protection regulations such as the General Data Protection Regulation (GDPR) in the European Union. You agree that you will not use the content or services provided by Hey Reliable in any country or manner that violates applicable laws, restrictions, or regulations.
20. Indemnification
You agree to indemnify, defend, and hold harmless, their officers, directors, employees, agents, and third parties from any losses, costs, liabilities, or expenses (including reasonable attorney’s fees) arising from your use of or inability to use the Sites or services, your violation of these Terms, your infringement of any rights of a third party, or your violation of applicable laws, rules, or regulations. Hey Reliable reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such a case, you agree to fully cooperate with Hey Reliable in asserting any available defenses.
21. Limitation of Liability and Disclaimer
Hey Reliable provides all information, software, products, and services on the Sites “as is” without warranties or conditions of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Hey Reliable and its suppliers do not guarantee the accuracy, reliability, or timeliness of the content and may make changes at any time without notice.
To the maximum extent permitted by law, Hey Reliable’s liability for any claims arising out of or related to these Terms, the Sites, or its services is limited to the total amount paid by the Client for the relevant project or service. Hey Reliable is not liable for any direct, indirect, incidental, special, or consequential damages, including loss of data or profits, arising from the use or inability to use the Sites or services. If you are dissatisfied with any aspect of the Sites, services, or these Terms, your sole remedy is to discontinue use.
22. Termination and Access Restrictions
Hey Reliable reserves the right to terminate your access to the Site or related services at any time, without notice, at their sole discretion. This agreement is governed by the laws of the State of Georgia, U.S.A., and you consent to the exclusive jurisdiction of courts in Georgia for all disputes related to these Terms. Use of the Site is unauthorized in jurisdictions that do not enforce all provisions of these Terms. This agreement does not create any partnership, joint venture, employment, or agency relationship between you and Hey Reliable. Both entities reserve the right to comply with legal requirements and governmental requests related to your use of the Sites. If any part of this agreement is found invalid or unenforceable, the remaining provisions shall remain in full effect. Unless otherwise specified, this agreement constitutes the entire understanding between you and Hey Reliable regarding the Sites and supersedes prior communications. A printed version of this agreement is admissible in legal proceedings to the same extent as other business records.
23. Data Protection and Privacy
Hey Reliable is committed to protecting your privacy. Any data collected during the course of providing services will be handled in compliance with applicable data protection laws. For more detailed information, please refer to Hey Reliable’s Privacy Policy, available on heyreliable.com.
24. Dispute Resolution
In the event of a dispute arising from these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiations. If resolution cannot be achieved, disputes will be subject to mediation or binding arbitration in the State of Georgia, U.S.A., unless otherwise required by law.
25. Force Majeure
Hey Reliable is not responsible for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, governmental actions, power outages, cyberattacks, internet disruptions, pandemics, or other events beyond Hey Reliable’s control.
26. Non-Solicitation Clause
Clients agree not to directly or indirectly solicit, hire, or engage any employees, contractors, or freelancers of Hey Reliable for a period of five (5) years following the completion of any project or retainer services. This clause is essential to protect Hey Reliable’s investment in its workforce and relationships. Any violation of this clause may result in legal action.
27. Accessibility Compliance
Hey Reliable’s services do not include compliance with accessibility standards (e.g., ADA compliance) unless explicitly stated in the project agreement. Accessibility compliance services may be available at an additional cost and require a separate agreement.
28. Updates to Terms and Policies
Hey Reliable reserves the right to modify these Terms and any related policies, including but not limited to the Privacy Policy and Maintenance & Hosting Terms, at its sole discretion. The most current versions will supersede all previous versions and will be made available on heyreliable.com. Clients are encouraged to review the Terms and policies periodically to stay informed of any updates, as they govern all ongoing and future engagements.
